These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Applicant,” “you,” or “your”) and Skillazo Inc., a corporation organized under the laws of the State of Delaware, United States (“Skillazo,” “we,” “us,” or “our”). These Terms govern your access to and use of the Skillazo online casting platform, including the audition application form, file upload functionality, payment processing, and all related services (collectively, the “Platform”).
By accessing the Platform, submitting an audition application, uploading content, or making a payment, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to any provision of these Terms, you must not use the Platform or submit an application. Your continued use of the Platform following the posting of any changes to these Terms constitutes acceptance of those changes.
To submit an application through the Platform, you must meet the following eligibility requirements:
(a) You must be at least thirteen (13) years of age. Applicants under the age of thirteen (13) are strictly prohibited from using the Platform or submitting applications. If we learn that a person under thirteen (13) has submitted an application, we will delete that application and all associated data promptly.
(b) Applicants between the ages of thirteen (13) and seventeen (17) may submit applications; however, a parent or legal guardian must provide verifiable written consent before the minor applicant may participate in any callbacks, screen tests, contract discussions, or production activities. The specific requirements for parental consent are detailed in Section 11 of these Terms.
(c) You must have the legal capacity to enter into binding agreements in your jurisdiction. If you are under the legal age of majority in your jurisdiction, your parent or legal guardian must agree to these Terms on your behalf.
(d) This casting call is open to applicants worldwide, with a primary focus on applicants residing in or connected to Ghana. There are no nationality or residency restrictions for submitting an application.
(e) If selected for a role, you must possess or be able to obtain the legal right to work in the applicable production jurisdictions, which may include Ghana, the United States, and other countries as determined by the production schedule. Skillazo Inc. does not sponsor work permits or visas, and the responsibility for securing appropriate authorization rests solely with the selected applicant.
Skillazo Inc. is producing “SKILLAZO,” a scripted comedy television series intended for broadcast in the United States and international markets. The Platform serves as the primary mechanism for collecting audition applications from prospective cast members.
(a) Submitting an application does not guarantee a role, callback, screen test, or any form of involvement in the production. The submission of an application and payment of the application fee creates no employment relationship, agency relationship, partnership, or contractual obligation beyond the scope of these Terms.
(b) Skillazo Inc. retains sole and absolute discretion in all casting decisions. Casting decisions are final and are not subject to appeal, review, or challenge. We are under no obligation to provide reasons for any casting decision.
(c) The production timeline, distribution strategy, broadcast partners, scope of the series, number of episodes, and all other creative and business decisions related to the production may change at any time without notice to applicants. Skillazo Inc. reserves the right to modify, delay, suspend, or cancel any aspect of the production at its sole discretion.
(d) Applicants who are selected for callbacks or further consideration will be contacted via the email address and phone number provided in their application. It is your sole responsibility to ensure that the contact information you provide is accurate, current, and monitored. Skillazo Inc. is not responsible for communications that fail due to incorrect or outdated contact information.
(e) If you are selected for a callback and fail to respond within the timeframe specified in the callback notification (typically seven (7) calendar days unless otherwise stated), Skillazo Inc. may, in its sole discretion, consider your non-response as a forfeiture of further consideration. No refund of the application fee will be issued in such circumstances.
(a) A non-refundable application fee of one hundred United States Dollars ($100.00 USD) is required to complete each audition application, subject to the specific refund conditions outlined in Section 5 of these Terms. Your application will not be reviewed until payment has been successfully processed.
(b) All payments are processed securely through Stripe, Inc. (“Stripe”), a third-party payment processor. By making a payment, you also agree to Stripe’s terms of service and privacy policy. Skillazo Inc. does not directly collect, store, or have access to your full credit card numbers, debit card numbers, bank account details, or mobile money PINs. All payment credentials are handled exclusively by Stripe in accordance with Payment Card Industry Data Security Standards (PCI DSS).
(c) The application fee covers the costs associated with professional casting review, callback coordination, communication with applicants, and production processing. The fee is assessed per application, not per role.
(d) Only one (1) application per individual is permitted. If you submit multiple applications, the duplicate submissions will be rejected. A refund for the fee associated with a duplicate submission may be issued at Skillazo Inc.’s discretion, but is not guaranteed.
(e) All fees are denominated and charged in United States Dollars (USD). Skillazo Inc. is not responsible for any additional fees, charges, or exchange rate differences imposed by your bank, credit card issuer, mobile money provider, or any other financial intermediary. Currency conversion rates are determined by your financial institution and are beyond our control.
(f) Payment must be completed at the time of application submission. Applications with incomplete or failed payments will not be processed. If a payment fails, you may resubmit your application with a new payment.
(a) If your application is reviewed and you are not selected for a callback, screen test, or role in the production, your $100.00 USD application fee will be refunded in full. This refund guarantee is a core commitment of the Skillazo casting process.
(b) Refunds are processed after casting decisions have been finalized for the applicable casting period. Because casting is conducted in phases, the timing of your refund will depend on the casting cycle in which your application is reviewed. Skillazo Inc. will use commercially reasonable efforts to finalize casting decisions in a timely manner.
(c) Refunds will be returned to the original payment method used during the application process. Skillazo Inc. is not responsible for delays caused by your bank, card issuer, or payment provider in crediting the refund to your account.
(d) Refund processing time is up to thirty (30) business days from the date casting decisions are finalized for your applicable casting period. You will receive email notification when your refund has been initiated.
(e) No refund will be issued under any of the following circumstances: (i) you are selected for a callback, screen test, or role, regardless of whether you accept or decline; (ii) your application is found to contain materially false, fraudulent, or misleading information; (iii) you voluntarily withdraw your application after submission; (iv) you violate any provision of these Terms of Service; (v) your access to the Platform is terminated pursuant to Section 17 due to a violation of these Terms; or (vi) you fail to respond to a callback notification within the specified timeframe.
(f) Skillazo Inc. will notify all applicants of their application status via the email address provided in their application. It is your responsibility to monitor this email address for communications from Skillazo Inc.
(a) You retain full ownership of any photographs, videos, and other media content (“Submitted Content”) that you upload or provide as part of your audition application.
(b) By submitting content through the Platform, you grant Skillazo Inc. a non-exclusive, worldwide, royalty-free, sublicensable, perpetual, and irrevocable license to use, reproduce, modify, adapt, display, distribute, and create derivative works from your Submitted Content for the following purposes: (i) evaluating your application for casting consideration; (ii) internal production review and planning, including sharing your submission with directors, producers, casting directors, and authorized production personnel; (iii) promotional and marketing materials related to the casting process, including but not limited to social media posts, behind-the-scenes content, and press materials about the audition process; and (iv) archival and record-keeping purposes.
(c) You represent and warrant that: (i) you are the sole owner of all Submitted Content, or have obtained all necessary permissions, licenses, and consents from any third parties featured in, or who hold rights to, your Submitted Content; (ii) your Submitted Content does not infringe, misappropriate, or violate any third party’s intellectual property rights, rights of privacy, rights of publicity, or any other proprietary or personal rights; (iii) your Submitted Content does not contain any material that is defamatory, obscene, unlawful, threatening, or otherwise objectionable; and (iv) your Submitted Content was created and submitted in compliance with all applicable laws and regulations.
(d) Skillazo Inc. may use aggregated, anonymized data derived from applications for internal analytics, research, and improvement of our casting processes. Such anonymized data will not identify you personally.
(e) The SKILLAZO name, logo, taglines, brand elements, visual identity, and all associated marks are trademarks or registered trademarks of Skillazo Inc. You may not use, reproduce, or display any Skillazo trademarks without prior written permission from Skillazo Inc.
(f) All aspects of the SKILLAZO television production, including but not limited to scripts, storylines, characters, character names, concepts, formats, set designs, music, and promotional materials, are the exclusive intellectual property of Skillazo Inc. and are protected by applicable copyright, trademark, and other intellectual property laws. No rights in the production’s intellectual property are transferred to applicants under these Terms.
(a) If you are selected for any level of involvement in the production (including callbacks, screen tests, or cast roles), you agree to allow Skillazo Inc. to use your name, likeness, voice, image, biographical information, and performance in connection with the production, promotion, marketing, distribution, and exploitation of the SKILLAZO television series in all media now known or hereafter devised, throughout the universe, in perpetuity. The specific scope and terms of such usage will be outlined in individual talent agreements provided to selected applicants.
(b) Your audition submission materials (including photographs and video recordings) may be used by Skillazo Inc. in behind-the-scenes content, promotional materials, social media posts, and press materials related to the casting process, subject to applicable law. This use is limited to content about the casting and audition process itself and does not extend to the use of your likeness in the television series without a separate talent agreement.
(c) You will not receive additional compensation for the use of your audition submission materials as described in this Section 7, unless separately agreed to in writing by Skillazo Inc. Compensation for selected cast members will be governed by individual talent agreements negotiated separately from these Terms.
(a) All information provided in your application must be truthful, accurate, complete, and not misleading. This includes, without limitation, your legal name, age, contact information, physical characteristics, experience, and any other information requested on the application form.
(b) You are solely responsible for ensuring that your contact information (email address and phone number) remains current and monitored for the duration of the casting process. If your contact information changes after submission, you must notify Skillazo Inc. at support@skillazo.co promptly.
(c) Providing materially false, fraudulent, or misleading information in your application, including but not limited to misrepresenting your age, identity, legal name, qualifications, or experience, constitutes grounds for immediate disqualification from the casting process and forfeiture of your application fee with no right to refund.
(d) Skillazo Inc. reserves the right to verify any and all information provided in your application through reasonable means, including but not limited to identity verification, background checks (with your consent where required by law), and reference checks. By submitting an application, you acknowledge that such verification may occur.
You agree not to engage in any of the following prohibited conduct in connection with the Platform or the casting process:
(a) Submitting applications under false, fictitious, or assumed identities, or impersonating any other person.
(b) Submitting more than one (1) application per individual, whether using the same or different email addresses or payment methods.
(c) Uploading, transmitting, or submitting any content that is obscene, pornographic, sexually explicit, violent, threatening, harassing, defamatory, hateful, discriminatory, or otherwise illegal or objectionable.
(d) Attempting to manipulate, interfere with, or undermine the integrity of the casting process through bribery, coercion, threats, or any other improper means.
(e) Harassing, intimidating, threatening, or engaging in abusive conduct toward other applicants, Skillazo staff, casting directors, production personnel, or any other individuals associated with the production.
(f) Using the Platform for any purpose other than submitting a legitimate audition application for the SKILLAZO production.
(g) Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code or underlying technology of the Platform.
(h) Scraping, crawling, or using any automated means to access, collect data from, or interact with the Platform without express written authorization from Skillazo Inc.
(i) Sharing, disclosing, or distributing confidential casting information, internal communications, callback details, or any non-public information related to the production or casting process.
(j) Attempting to gain unauthorized access to any part of the Platform, its servers, databases, or any systems or networks connected to the Platform.
Violation of any of the foregoing may result in immediate disqualification, forfeiture of your application fee, termination of your access to the Platform, and, where applicable, referral to law enforcement authorities.
Your personal information is collected, processed, stored, and protected in accordance with our Privacy Policy, which is incorporated into these Terms by reference. By submitting an application through the Platform, you acknowledge that you have read and understood our Privacy Policy and consent to the collection and processing of your personal data as described therein. We encourage you to review the Privacy Policy carefully before submitting your application.
(a) Applicants between the ages of thirteen (13) and seventeen (17) (“Minor Applicants”) are permitted to submit audition applications through the Platform. No individual under the age of thirteen (13) may use the Platform or submit an application under any circumstances.
(b) While a Minor Applicant may submit an initial application independently, a parent or legal guardian must provide verifiable written consent before the Minor Applicant may: (i) participate in any callback or follow-up audition; (ii) participate in any screen test; (iii) enter into any agreement, contract, or arrangement with Skillazo Inc.; or (iv) participate in any production activity, including rehearsals, filming, or promotional events.
(c) Verifiable written consent must be provided in a form specified by Skillazo Inc., which may include a signed consent form submitted via email or an electronic consent mechanism provided by the Platform. Skillazo Inc. reserves the right to require additional verification of the guardian’s identity and legal authority.
(d) Skillazo Inc. is committed to compliance with all applicable child protection laws and regulations, including but not limited to: the Children’s Online Privacy Protection Act (COPPA) of the United States; the Children’s Act, 1998 (Act 560) of the Republic of Ghana; and any other applicable child protection, child labor, and data protection laws in the jurisdictions where the production operates or where Minor Applicants reside.
(e) If a Minor Applicant is selected for the production, a parent or legal guardian must be present and available during all production activities in which the minor participates. All working hours, conditions, and compensation for Minor Applicants will comply with applicable child labor laws in the relevant production jurisdiction.
(f) A parent or legal guardian may request access to, correction of, or deletion of their child’s application data at any time by contacting support@skillazo.co.
THE PLATFORM AND THE CASTING PROCESS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SKILLAZO INC. EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, SKILLAZO INC. MAKES NO WARRANTY OR REPRESENTATION THAT: (A) THE PLATFORM WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; (B) THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS OBTAINED FROM THE USE OF THE PLATFORM WILL BE ACCURATE OR RELIABLE; (D) ANY PARTICULAR APPLICANT WILL BE SELECTED FOR A CALLBACK OR ROLE; (E) THE PRODUCTION WILL BE COMPLETED, BROADCAST, OR DISTRIBUTED ON ANY SPECIFIC TIMELINE OR THROUGH ANY SPECIFIC CHANNELS; OR (F) ANY DEFECTS IN THE PLATFORM WILL BE CORRECTED.
(a) TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SKILLAZO INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (I) YOUR USE OF OR INABILITY TO USE THE PLATFORM; (II) YOUR APPLICATION OR THE CASTING PROCESS; (III) ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR SUBMISSIONS; OR (IV) ANY OTHER MATTER RELATED TO THE PLATFORM OR THESE TERMS.
(b) IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF SKILLAZO INC. TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE AMOUNT OF THE APPLICATION FEE ACTUALLY PAID BY YOU (ONE HUNDRED UNITED STATES DOLLARS, $100.00 USD).
(c) THE LIMITATIONS SET FORTH IN THIS SECTION SHALL APPLY REGARDLESS OF THE LEGAL THEORY UPON WHICH THE CLAIM IS BASED, INCLUDING BUT NOT LIMITED TO CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, WARRANTY, OR ANY OTHER LEGAL OR EQUITABLE THEORY, AND REGARDLESS OF WHETHER SKILLAZO INC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
(d) SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.
You agree to indemnify, defend, and hold harmless Skillazo Inc., its officers, directors, employees, agents, affiliates, successors, assigns, licensors, and service providers (collectively, the “Indemnified Parties”) from and against any and all claims, demands, actions, suits, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or relating to: (a) your submission of an application or use of the Platform; (b) your violation or breach of any provision of these Terms; (c) your violation of any applicable law, regulation, or third-party right; (d) any content you upload, submit, or transmit through the Platform; (e) any misrepresentation made by you; or (f) any dispute between you and any third party arising from or related to the Platform or your application. This indemnification obligation will survive the termination of these Terms and your use of the Platform.
(a) These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
(b) In the event of any dispute, claim, or controversy arising out of or relating to these Terms, your application, or your use of the Platform (“Dispute”), you and Skillazo Inc. agree to first attempt to resolve the Dispute informally by contacting support@skillazo.co and engaging in good-faith negotiations for a period of not less than thirty (30) days.
(c) If the Dispute cannot be resolved through informal negotiation within the thirty (30) day period, either party may submit the Dispute to final and binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with the AAA’s then-current Consumer Arbitration Rules. The arbitration shall take place in Wilmington, Delaware, United States, or, at Skillazo Inc.’s discretion, may be conducted remotely via videoconference or telephone.
(d) YOU AND SKILLAZO INC. AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU EXPRESSLY WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST SKILLAZO INC.
(e) The arbitrator’s decision shall be final, binding, and enforceable in any court of competent jurisdiction. The arbitrator may award any form of individual relief, including injunctions and declaratory relief.
(f) Notwithstanding the foregoing, nothing in this Section shall prevent Skillazo Inc. from seeking injunctive or other equitable relief from any court of competent jurisdiction to prevent or restrain any actual or threatened infringement, misappropriation, or violation of Skillazo Inc.’s intellectual property rights, confidential information, or other proprietary rights.
(a) Skillazo Inc. reserves the right to modify, amend, or update these Terms at any time and at its sole discretion. Any material changes to these Terms will be posted on this page with an updated “Last Updated” date displayed at the top of the document.
(b) Your continued use of the Platform after the posting of revised Terms constitutes your acceptance of and agreement to the revised Terms. If you do not agree to the revised Terms, you must discontinue your use of the Platform.
(c) Changes to these Terms do not apply retroactively to applications submitted prior to the effective date of the change, unless: (i) the change is required by applicable law or regulation; (ii) the change relates to the addition of new services, functionality, or features on the Platform; or (iii) the change is necessary to protect the security or integrity of the Platform.
(d) We encourage you to review these Terms periodically to stay informed of any updates.
(a) Skillazo Inc. may, in its sole discretion, suspend, restrict, or terminate your access to the Platform and your participation in the casting process at any time, with or without cause, and with or without prior notice.
(b) If your access is terminated due to a violation of these Terms, you shall forfeit your application fee in its entirety, and no refund will be issued. Skillazo Inc. may also pursue any other remedies available under applicable law.
(c) Upon termination, your license to use the Platform is immediately revoked. However, the following Sections shall survive termination and continue in full force and effect: Section 6 (Content Submission & Intellectual Property), Section 7 (Use of Likeness & Publicity Rights), Section 12 (Disclaimer of Warranties), Section 13 (Limitation of Liability), Section 14 (Indemnification), Section 15 (Dispute Resolution & Governing Law), Section 18 (Severability), and any other provisions that by their nature are intended to survive termination.
If any provision of these Terms is held to be invalid, illegal, void, or unenforceable by a court or tribunal of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent. If modification is not possible, the provision shall be severed from these Terms. The invalidity, illegality, or unenforceability of any individual provision shall not affect the validity, legality, or enforceability of the remaining provisions of these Terms, which shall continue in full force and effect.
